Deze algemene voorwaarden zijn van toepassing op digitale producten en diensten die worden aangeboden door Mellow Yellow Sports, handelsnaam van Mellow Yellow B.V., waaronder de Football CV Maker, digitale games, tests, trainings- en ontwikkeltools, analyses, rapportages, downloads en andere digitale diensten ter ondersteuning van amateur- en profvoetballers.
Artikel 1 – Identiteit en definities
1.1 Mellow Yellow Sports is een handelsnaam van Mellow Yellow B.V., gevestigd aan Singel 372, 1016 AH Amsterdam, Nederland, hierna: “Mellow Yellow Sports”.
1.2 Onder “Gebruiker” wordt verstaan iedere natuurlijke persoon of rechtspersoon die een digitaal product of een digitale dienst van Mellow Yellow Sports afneemt of gebruikt.
1.3 Onder “Digitale Producten” wordt onder meer verstaan: de Football CV Maker, gegenereerde voetbal-CV’s, games, digitale tests, trainings- en ontwikkeltools, analyses, rapportages, templates, downloads en overige digitaal geleverde content.
1.4 Onder “Diensten” wordt verstaan de door Mellow Yellow Sports aangeboden ondersteunende dienstverlening voor voetballers, voor zover deze niet op grond van een afzonderlijke overeenkomst wordt geleverd.
Artikel 2 – Toepasselijkheid
2.1 Deze algemene voorwaarden zijn van toepassing op ieder aanbod, iedere bestelling, overeenkomst en ieder gebruik van Digitale Producten en Diensten van Mellow Yellow Sports.
2.2 Voor specifieke producten of diensten kunnen aanvullende voorwaarden gelden. Bij strijdigheid gaan specifieke productvoorwaarden voor, tenzij dwingend consumentenrecht anders bepaalt.
2.3 Door vóór het afronden van een bestelling de daarvoor bestemde checkbox aan te vinken, verklaart de Gebruiker deze algemene voorwaarden te hebben kunnen raadplegen en daarmee akkoord te gaan.
Artikel 3 – Aanbod, overeenkomst en betaling
3.1 Het aanbod vermeldt de voornaamste kenmerken van het product of de dienst, de prijs en, voor zover van toepassing, de wijze van levering en gebruik.
3.2 De overeenkomst komt tot stand nadat de Gebruiker de bestelling afrondt en de betaling, indien verschuldigd, succesvol is verwerkt, tenzij uit het aanbod anders blijkt.
3.3 Alle vermelde consumentenprijzen zijn inclusief toepasselijke belastingen, tenzij uitdrukkelijk anders vermeld.
3.4 Mellow Yellow Sports mag kennelijke fouten in prijzen, productomschrijvingen of andere informatie corrigeren.
Artikel 4 – Levering van digitale producten
4.1 Digitale Producten worden geleverd op de wijze die bij het product is aangegeven, bijvoorbeeld door directe online toegang, generatie van een bestand, download, e-mail of toegang via een account.
4.2 De Gebruiker is verantwoordelijk voor een geschikte internetverbinding, apparatuur en software voor zover deze redelijkerwijs nodig zijn voor het gebruik.
4.3 Mellow Yellow Sports spant zich in om de digitale omgeving beschikbaar en veilig te houden, maar kan onderhoud, updates of tijdelijke onderbrekingen uitvoeren.
Artikel 5 – Herroepingsrecht en directe levering
5.1 Voor consumenten geldt bij overeenkomsten op afstand in beginsel het wettelijke herroepingsrecht, tenzij een wettelijke uitzondering van toepassing is.
5.2 Voor Digitale Producten die niet op een materiële drager worden geleverd, waaronder een gegenereerd voetbal-CV of direct toegankelijke digitale game of download, kan de Gebruiker verzoeken dat de levering direct begint, dus vóór afloop van de wettelijke bedenktijd.
5.3 Het herroepingsrecht vervalt bij dergelijke digitale inhoud pas wanneer aan de wettelijke voorwaarden is voldaan. De Gebruiker moet vóór levering uitdrukkelijk instemmen met onmiddellijke uitvoering én verklaren dat hij of zij begrijpt en ermee instemt dat daardoor het herroepingsrecht verloren gaat. Mellow Yellow Sports bevestigt deze instemming aan de Gebruiker.
5.4 Het enkele bezoeken of gebruiken van de Football CV Maker geldt niet automatisch als afstand van het herroepingsrecht. De vereiste instemming en verklaring moeten afzonderlijk en aantoonbaar vóór de levering worden gegeven.
5.5 Wanneer een Dienst tijdens de bedenktijd op uitdrukkelijk verzoek van de consument begint, gelden de wettelijke regels voor vergoeding van reeds uitgevoerde werkzaamheden en voor het eventuele vervallen van het herroepingsrecht nadat de dienst volledig is uitgevoerd.
5.6 Voor zover de consument ondanks het voorgaande wettelijk recht op herroeping behoudt, kan dat recht overeenkomstig de wettelijke voorschriften worden uitgeoefend.
Artikel 6 – Bijzondere voorwaarden Football CV Maker
6.1 Met de Football CV Maker kan de Gebruiker op basis van zelf verstrekte gegevens en bestanden een digitaal voetbal-CV laten samenstellen.
6.2 De Gebruiker is verantwoordelijk voor de juistheid, volledigheid en actualiteit van de ingevoerde gegevens.
6.3 De Gebruiker garandeert dat hij of zij gerechtigd is de geüploade foto’s en overige materialen voor het voetbal-CV te gebruiken en aan Mellow Yellow Sports ter verwerking beschikbaar te stellen.
6.4 Het gegenereerde voetbal-CV is bestemd voor persoonlijk professioneel en sportief gebruik door de Gebruiker en mag door de Gebruiker worden gedeeld met clubs, scouts, trainers, zaakwaarnemers en andere relevante partijen.
6.5 Gebruik van de Football CV Maker leidt niet tot een overeenkomst inzake voetbalagentendiensten, vertegenwoordiging of spelersbemiddeling.
6.6 Mellow Yellow Sports garandeert niet dat het gebruik van het CV leidt tot een trial, stage, selectie, contract, transfer, salarisverbetering of andere sportieve of commerciële mogelijkheid.
Artikel 7 – Games, tests, analyses en ontwikkeltools
7.1 Games, tests, scores, analyses, oefeningen en ontwikkeltools zijn bedoeld als ondersteuning, educatie, entertainment en/of persoonlijke ontwikkeling.
7.2 Resultaten of scores zijn geen objectieve garantie voor voetbalniveau, talent, potentie, fysieke geschiktheid, mentale geschiktheid, selectiekansen of toekomstige prestaties.
7.3 De Gebruiker blijft zelf verantwoordelijk voor beslissingen die worden genomen naar aanleiding van digitale analyses, scores of adviezen.
Artikel 8 – Minderjarigen
8.1 Een deel van de Digitale Producten en Diensten kan door minderjarige voetballers worden gebruikt.
8.2 Voor zover voor het sluiten van een overeenkomst, het doen van een betaling of een specifieke gegevensverwerking toestemming van een ouder of wettelijk vertegenwoordiger vereist is, moet deze toestemming vooraf zijn verkregen.
8.3 Mellow Yellow Sports mag bij redelijke twijfel aanvullende verificatie of toestemming van een ouder of wettelijk vertegenwoordiger verlangen.
Artikel 9 – Account en gebruik
9.1 Indien voor een product een account nodig is, is de Gebruiker verantwoordelijk voor het vertrouwelijk houden van inloggegevens.
9.2 Het is niet toegestaan systemen te misbruiken, beveiligingsmaatregelen te omzeilen, software te reverse-engineeren voor zover wettelijk niet toegestaan, accounts ongeoorloofd te delen of de dienstverlening te gebruiken voor onrechtmatige doeleinden.
9.3 Mellow Yellow Sports mag toegang tijdelijk beperken indien dit noodzakelijk is vanwege beveiliging, misbruik, fraude, onderhoud of een ernstige schending van deze voorwaarden.
Artikel 10 – Intellectuele eigendom
10.1 Alle intellectuele eigendomsrechten op software, vormgeving, games, methodieken, teksten, vragen, templates, systemen, databankstructuren en overige door Mellow Yellow Sports ontwikkelde materialen blijven bij Mellow Yellow Sports of haar licentiegevers.
10.2 De aankoop van een Digitaal Product geeft de Gebruiker uitsluitend het gebruiksrecht dat uit het product en deze voorwaarden voortvloeit.
10.3 Het is zonder voorafgaande toestemming niet toegestaan producten, games, software, templates of andere beschermde materialen commercieel te kopiëren, door te verkopen, openbaar te maken of te exploiteren.
10.4 Het persoonlijke, door de Football CV Maker gegenereerde voetbal-CV mag door de betreffende Gebruiker wel worden opgeslagen, gekopieerd en verspreid voor zijn of haar eigen voetbalcarrière.
Artikel 11 – Persoonsgegevens en spelersdatabase
11.1 Mellow Yellow Sports verwerkt persoonsgegevens overeenkomstig de toepasselijke privacywetgeving en de Privacyverklaring CV-service / privacyverklaring van Mellow Yellow Sports.
11.2 Voor het bewaren of gebruiken van gegevens voor scouting, mogelijke clubmatches of andere aanvullende doeleinden geldt hetgeen daarover in de privacyverklaring en, waar nodig, de afzonderlijke toestemmingskeuze is bepaald.
11.3 Akkoord gaan met deze algemene voorwaarden vervangt niet een afzonderlijke toestemming wanneer de wet voor een specifieke verwerking afzonderlijke toestemming vereist.
Artikel 12 – Conformiteit, updates en wijzigingen
12.1 Mellow Yellow Sports levert Digitale Producten en Diensten in overeenstemming met de toepasselijke wettelijke eisen.
12.2 Waar wettelijk vereist worden noodzakelijke functionele en beveiligingsupdates aangeboden gedurende de periode waarin de Gebruiker deze redelijkerwijs mag verwachten.
12.3 Mellow Yellow Sports mag digitale diensten aanpassen of verbeteren indien dit redelijk is en de wettelijke rechten van de consument worden gerespecteerd.
Artikel 13 – Aansprakelijkheid
13.1 Mellow Yellow Sports is niet aansprakelijk voor sportieve, carrière- of commerciële beslissingen die uitsluitend door de Gebruiker of derden worden genomen op basis van een CV, game, test, score, analyse of ander ondersteunend product.
13.2 Niets in deze voorwaarden beperkt of sluit aansprakelijkheid uit voor zover uitsluiting of beperking op grond van dwingend recht niet is toegestaan.
13.3 Mellow Yellow Sports is niet verantwoordelijk voor onjuiste resultaten die rechtstreeks voortvloeien uit onjuiste of onvolledige door de Gebruiker verstrekte gegevens.
Artikel 14 – Overmacht en technische storingen
14.1 Mellow Yellow Sports is niet gehouden tot nakoming voor zover nakoming tijdelijk onmogelijk is door omstandigheden buiten haar redelijke invloed, met inachtneming van de wettelijke rechten van consumenten.
14.2 Bij een technische storing zal Mellow Yellow Sports zich redelijkerwijs inspannen om de dienstverlening te herstellen of, indien passend, een alternatieve levering aan te bieden.
Artikel 15 – Klachten
15.1 Klachten over een product, betaling of dienst kunnen via de op de website vermelde contactgegevens bij Mellow Yellow Sports worden ingediend.
15.2 Mellow Yellow Sports zal klachten binnen een redelijke termijn inhoudelijk behandelen.
15.3 Deze klachtenregeling doet geen afbreuk aan wettelijke rechten van consumenten.
Artikel 16 – Wijziging algemene voorwaarden
16.1 Mellow Yellow Sports kan deze algemene voorwaarden wijzigen voor toekomstige overeenkomsten.
16.2 Voor lopende digitale diensten worden wijzigingen alleen toegepast voor zover dit wettelijk is toegestaan en de Gebruiker daarover, indien vereist, tijdig wordt geïnformeerd.
Artikel 17 – Toepasselijk recht en geschillen
17.1 Op overeenkomsten met Mellow Yellow Sports is Nederlands recht van toepassing, zonder dat een consument daardoor de bescherming verliest van dwingende consumentenregels die op hem of haar van toepassing zijn.
17.2 Geschillen worden voorgelegd aan de volgens de wet bevoegde rechter.

These terms and conditions apply to digital products and services offered by Mellow Yellow Sports, trade name of Mellow Yellow B.V., including the Football CV Maker, digital games, tests, training and development tools, analytics, reporting, downloads and other digital services to support amateur and professional football players.
Article 1 – Identity and definitions
1.1 Mellow Yellow Sports is a trade name of Mellow Yellow B.V., with its registered office at Singel 372, 1016 AH Amsterdam, the Netherlands, hereinafter referred to as “Mellow Yellow Sports”.
1.2 “User” means any natural or legal person who purchases or uses a digital product or service from Mellow Yellow Sports.
1.3 “Digital Products” includes, but is not limited to: the Football CV Maker, generated football CVs, games, digital tests, training and development tools, analyses, reports, templates, downloads and other digitally delivered content.
1.4 “Services” means the support services offered by Mellow Yellow Sports for football players, insofar as this is not provided on the basis of a separate agreement.
Article 2 – Applicability
2.1 These general terms and conditions apply to every offer, order, agreement and use of Digital Products and Services of Mellow Yellow Sports.
2.2 Additional terms and conditions may apply to specific products or services. In the event of a conflict, specific product terms and conditions take precedence, unless mandatory consumer law provides otherwise.
2.3 By ticking the appropriate checkbox before completing an order, the User declares that he has been able to consult and agree to these general terms and conditions.
Article 3 – Offer, agreement and payment
3.1 The offer shall state the main characteristics of the product or service, the price and, where applicable, the method of delivery and use.
3.2 The agreement is concluded after the User completes the order and the payment, if due, has been successfully processed, unless the offer shows otherwise.
3.3 All consumer prices quoted are inclusive of applicable taxes, unless expressly stated otherwise.
3.4 Mellow Yellow Sports may correct obvious errors in pricing, product descriptions or other information.
Article 4 – Delivery of digital products
4.1 Digital Products are provided in the manner indicated with the product, for example by direct online access, file generation, download, email or access via an account.
4.2 The User is responsible for a suitable internet connection, equipment and software to the extent that they are reasonably necessary for the use.
4.3 Mellow Yellow Sports makes every effort to keep the digital environment available and secure, but may carry out maintenance, updates or temporary interruptions.
Article 5 – Right of withdrawal and direct delivery
5.1 In principle, consumers have the statutory right of withdrawal in the case of distance contracts, unless a statutory exception applies.
5.2 For Digital Products that are not delivered on a tangible medium, including a generated football CV or directly accessible digital game or download, the User may request that the delivery starts immediately, i.e. before the end of the legal cooling-off period.
5.3 The right of withdrawal only expires in the case of such digital content when the legal conditions have been met. The User must expressly agree to immediate execution before delivery and declare that he or she understands and agrees that the right of withdrawal will be lost as a result. Mellow Yellow Sports confirms this agreement to the User.
5.4 The mere visit or use of the Football CV Maker does not automatically constitute a waiver of the right of withdrawal. The required consent and declaration must be given separately and demonstrably before delivery.
5.5 If a Service starts during the cooling-off period at the express request of the consumer, the legal rules apply to compensation for work already performed and to the possible expiry of the right of withdrawal after the service has been fully performed.
5.6 Insofar as the consumer retains the statutory right of withdrawal despite the foregoing, this right may be exercised in accordance with the statutory provisions.
Article 6 – Special terms and conditions Football CV Maker
6.1 With the Football CV Maker, the User can have a digital football CV compiled on the basis of self-provided data and files.
6.2 The User is responsible for the correctness, completeness and topicality of the data entered.
6.3 The User guarantees that he or she is entitled to use the uploaded photos and other materials for the football CV and to make them available to Mellow Yellow Sports for processing.
6.4 The generated football CV is intended for personal professional and sporting use by the User and may be shared by the User with clubs, scouts, trainers, agents and other relevant parties.
6.5 Use of the Football Resume Maker does not lead to an agreement for football agent services, representation or player mediation.
6.6 Mellow Yellow Sports does not guarantee that the use of the CV will lead to a trial, internship, selection, contract, transfer, salary improvement or other sporting or commercial opportunity.
Article 7 – Games, tests, analyses and development tools
7.1 Games, tests, scores, analyses, exercises and development tools are intended for support, education, entertainment and/or personal development.
7.2 Results or scores are not an objective guarantee of football level, talent, potential, physical ability, mental suitability, selection opportunities or future performance.
7.3 The User remains solely responsible for decisions made as a result of digital analyses, scores or advice.
Article 8 – Minors
8.1 Some of the Digital Products and Services may be used by underage football players.
8.2 Insofar as the consent of a parent or legal representative is required for the conclusion of an agreement, the making of a payment or a specific data processing, this consent must be obtained in advance.
8.3 Mellow Yellow Sports may require additional verification or consent from a parent or legal representative in the event of reasonable doubt.
Article 9 – Account and use
9.1 If an account is required for a product, the User is responsible for keeping login details confidential.
9.2 It is not permitted to misuse systems, circumvent security measures, reverse engineer software to the extent not permitted by law, share accounts unauthorized, or use the Service for unlawful purposes.
9.3 Mellow Yellow Sports may temporarily restrict access if this is necessary due to security, abuse, fraud, maintenance or a serious violation of these terms and conditions.
Article 10 – Intellectual property
10.1 All intellectual property rights to software, design, games, methodologies, texts, questions, templates, systems, database structures and other materials developed by Mellow Yellow Sports remain with Mellow Yellow Sports or its licensors.
10.2 The purchase of a Digital Product only gives the User the right of use arising from the product and these terms and conditions.
10.3 It is not permitted to commercially copy, resell, disclose or exploit any products, games, software, templates or other protected materials without prior permission.
10.4 The personal football CV generated by the Football CV Maker may be stored, copied and distributed by the relevant User for his or her own football career.
Article 11 – Personal data and player database
11.1 Mellow Yellow Sports processes personal data in accordance with applicable privacy laws and Mellow Yellow Sports’ CV Service Privacy Statement.
11.2 The storage or use of data for scouting, possible club matches or other additional purposes is subject to the provisions of the privacy statement and, where necessary, the separate choice of consent.
11.3 Agreeing to these Terms and Conditions does not replace separate consent where the law requires separate consent for a specific processing.
Article 12 – Conformity, updates and changes
12.1 Mellow Yellow Sports provides Digital Products and Services in accordance with applicable legal requirements.
12.2 Where required by law, necessary functional and security updates will be provided for the period in which the User may reasonably expect them.
12.3 Mellow Yellow Sports may adjust or improve digital services if this is reasonable and the legal rights of the consumer are respected.
Article 13 – Liability
13.1 Mellow Yellow Sports is not liable for any sporting, career or commercial decisions made solely by the User or third parties on the basis of a CV, game, test, score, analysis or other supporting product.
13.2 Nothing in these Terms limits or excludes liability to the extent that exclusion or limitation is not permitted under mandatory law.
13.3 Mellow Yellow Sports is not responsible for incorrect results resulting directly from incorrect or incomplete data provided by the User.
Article 14 – Force majeure and technical failures
14.1 Mellow Yellow Sports is not obliged to perform insofar as performance is temporarily impossible due to circumstances beyond its reasonable control, with due observance of the legal rights of consumers.
14.2 In the event of a technical malfunction, Mellow Yellow Sports will make reasonable efforts to restore the service or, if appropriate, to offer an alternative delivery.
Article 15 – Complaints
15.1 Complaints about a product, payment or service can be submitted to Mellow Yellow Sports via the contact details provided on the website.
15.2 Mellow Yellow Sports will handle complaints within a reasonable period of time.
15.3 This complaints procedure does not affect the statutory rights of consumers.
Article 16 – Amendment of general terms and conditions
16.1 Mellow Yellow Sports may amend these terms and conditions for future agreements.
16.2 For current digital services, changes will only be applied insofar as this is permitted by law and, if required, the User will be informed about this in a timely manner.
Article 17 – Applicable law and disputes
17.1 Agreements with Mellow Yellow Sports are governed by Dutch law, without a consumer losing the protection of mandatory consumer rules that apply to him or her.
17.2 Disputes shall be submitted to the competent court in accordance with the law.
